Deal Structures and Considerations the Focus of M & A Seminar

In an ongoing effort to provide the business community with content and strategies designed to help them succeed, Friday, Eldredge & Clark, LLP has partnered with Strategic M&A Advisors and HoganTaylor LLP to present the 2018 Owner’s Briefing.

The seminar, which was held Thursday, Sept. 27 in Little Rock, focused on selling from a position of strength and creating value in the business. Traditional education sessions were mixed with thought-provoking panel discussions that shared real-life examples of business success and failure. 

Mergers and acquisitions attorneys Robert T. SmithJoseph G. Nichols and Bryan W. Duke presented a session on deal structures and considerations. From Letters of Intent (LOI) to post-closing agreements, the attorneys took business owners through the process of selling a company. 

Robert T. Smith is a partner in the firm and his diverse corporate practice focuses on representing individuals, companies, and financial institutions in general business, transactional, securities and regulatory matters. He has handled transactions in a variety of industries including the banking, healthcare, real estate and technology industries.

Joseph G. Nichols practice includes a number of different areas including assisting large and small business and individuals with business, tax and real estate related matters. His work has included representing companies in connection with business sales, mergers, reorganizations, liquidations and tax deferred like kind exchanges. 

Bryan W. Duke assists companies in corporate finance matters, the placement of debt and equity securities and counseling directors and executive officers regarding fiduciary duties and corporate governance issues.
